Terms of Use
Welcome to Paths ("we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of the website www.inpaths.com ("Platform") and the services provided through the Platform. By accessing or using the Platform, you ("User") agree to comply with and be bound by these Terms. Users include Project Providers and Talent (defined below). If you do not agree to these Terms, you must not use the Platform.
1. Definitions
Project Provider: Any individual or entity that posts projects on the Platform.
Talent: Any individual who applies for or undertakes projects posted on the Platform.
Short-Term Projects: Limited-scope assignments offered through the Platform that do not constitute employment.
2. Nature of the Relationship
Independent Contractors: All interactions facilitated through the Platform are between independent contractors. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between Project Providers, Talent, or Paths.
No Employment: Projects posted or completed through the Platform do not constitute employment by either Paths or the Project Provider.
3. Confidentiality
Confidential Information: Talent agrees to maintain the confidentiality of all proprietary, sensitive, or non-public information disclosed during the project ("Confidential Information").
Project Provider’s Responsibility: It is the Project Provider's responsibility to clearly communicate specific confidentiality requirements to Talent prior to project commencement.
Survival of Obligation: Obligations of confidentiality remain in effect after the completion or termination of the project.
4. Ownership of Work Product
Project Provider Ownership: All work products, materials, and deliverables created by Talent during the project are the exclusive property of the Project Provider upon payment of any agreed fees.
No Retention of Work Product: Talent agrees not to retain, reproduce, or share any work product without the express permission of the Project Provider.
5. Fairness, Respect, and Integrity
Mutual Expectations: Project Providers and Talent agree to interact with fairness, respect, and integrity throughout their engagement.
Feedback: Both parties agree to provide fair, accurate, and constructive feedback, adhering to these values at all times.
6. Termination of Projects
Right to Terminate: Both Project Providers and Talent may terminate a project at any time, for any reason, by providing written notice to the other party.
Obligations Upon Termination: Upon termination, Talent must return or destroy all Confidential Information and work products as instructed by the Project Provider.
7. Use of the Platform
Compliance: Users must comply with all applicable laws and these Terms when using the Platform.
Prohibited Activities: Users must not use the Platform to post illegal, harmful, or fraudulent projects or to engage in any activity that violates the intellectual property or privacy rights of others.
8. Limitation of Liability
Platform as a Facilitator: Paths is a facilitator and is not responsible for the actions, deliverables, or interactions of Project Providers or Talent.
No Guarantees: Paths does not guarantee the quality, suitability, or outcomes of projects or Talent engagements.
Indemnification: Users agree to indemnify and hold harmless Paths, its affiliates, officers, and employees from any claims, liabilities, or damages arising from their use of the Platform or engagement in projects.
9. Dispute Resolution
Good Faith Efforts: Users agree to attempt to resolve disputes in good faith before pursuing formal legal action.
Governing Law: These Terms are governed by the laws of New York, USA.
10. Changes to the Terms
Paths reserves the right to update these Terms at any time. Users will be notified of material changes, and continued use of the Platform constitutes acceptance of the revised Terms.
