Terms of Use

Welcome to Paths ("Paths," "we," "our," or "us"). These Terms of Use ("Terms") govern your access to and use of the website www.inpaths.com (the "Platform") and the services offered through it. By accessing or using the Platform, you ("User") agree to comply with and be bound by these Terms.

Users include both Clients and Talent, defined below. If you do not agree with these Terms, you must not use the Platform.

1. Definitions

Client: Any individual or organization that posts projects or engages Talent through the Platform.
Talent: Any individual who applies for, engages in, or completes projects offered through the Platform.
Short-Term Projects: Limited-scope engagements facilitated through the Platform that do not constitute employment.
Confidential Information: Any proprietary, sensitive, or non-public information disclosed or made available during the course of a project.

2. Nature of the Relationship

Independent Contractors: All engagements facilitated through the Platform are between independent contractors. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between Clients, Talent, or Paths.
No Employment Guarantee: Projects posted or completed on the Platform do not constitute employment by either Paths or the Client. Talent is not entitled to employment benefits or protections.

3. Purpose of the Platform

Paths exists to provide a learning-focused, project-based opportunity for emerging professionals and students to apply their knowledge to real-world business challenges. The Platform is intended to support professional growth, not to replace traditional employment or provide guaranteed outcomes for Clients.

4. Confidentiality and Data Handling

Client Ownership: All work products, materials, and deliverables created by Talent during the project are the exclusive property of the Client upon full payment of any agreed fees.
Destruction and Return: Upon completion or termination of a project, Talent agrees to return all Confidential Information to the Client or destroy it as instructed. Talent shall not retain, reproduce, or share any work product or Client information without prior written consent.
Client Responsibility: Clients must clearly communicate confidentiality expectations to Talent in writing before the commencement of a project.
Survival: Confidentiality obligations survive the end of the project.

5. Professional Conduct and Mutual Respect

Mutual Expectations: Clients and Talent agree to treat one another with fairness, respect, professionalism, and integrity.
No Solicitation or Harassment: Clients must not pursue Talent for unrelated or non-professional interactions, nor may Talent contact Clients for future work outside the Platform without mutual written consent.
Feedback and Ratings: Users agree to provide honest, constructive, and respectful feedback as part of the Platform experience.

6. Project Termination

Right to Terminate: Clients and Talent may terminate a project at any time, with reasonable notice, and must communicate this in writing.
Final Obligations: Upon termination, Talent must return or destroy all Confidential Information, and both parties should settle any outstanding payments or deliverables in good faith.

7. Platform Use and Restrictions

Compliance: Users agree to comply with all applicable laws, regulations, and these Terms while using the Platform.
Prohibited Activities:
No illegal, fraudulent, misleading, or harmful activities.
No infringement on intellectual property or privacy rights.
No misrepresentation of skills, credentials, or project intentions.
No bypassing of the Platform for off-platform work without mutual agreement and Paths’ consent.

8. Limitation of Liability

Facilitator Role: Paths is a facilitator of connections between Clients and Talent. We are not a party to any agreements between them and assume no liability for their actions, omissions, or deliverables.
No Guarantees: Paths does not guarantee the quality, outcome, or suitability of any project, Client, or Talent engagement.
Assumption of Risk: Users assume all risks related to engagements, including but not limited to miscommunication, delivery delays, or unmet expectations.
Indemnification: Users agree to defend, indemnify, and hold harmless Paths and its affiliates, officers, and employees from any claims, liabilities, costs, or damages resulting from their use of the Platform or participation in a project.

9. Dispute Resolution and Avoidance

Good Faith Efforts: Users agree to attempt resolution of disputes informally and in good faith prior to any legal action.
Mediation: Paths may, at its discretion, assist in mediating disputes; however, it is not obligated to intervene or make final judgments.
Jurisdiction and Law: These Terms are governed by and construed under the laws of the State of New York, USA.

10. Platform Integrity and Future Use

Learning First: The Platform is designed to support learning, exploration, and real-world application of academic and professional skills.
No Re-Use Without Consent: Clients and Talent may not reuse, reproduce, or share work created through the Platform outside the agreed scope without explicit mutual consent.

11. Updates and Modifications

Paths reserves the right to modify these Terms at any time. Users will be notified of material changes via the Platform or email. Continued use of the Platform constitutes acceptance of any updated Terms.
